Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Finmarine platform, websites, and related services (together, the "Services"). Finmarine provides software that lets maritime counterparties — shipowners, managers, charterers, and vendors — issue invoices, track transactions, onboard counterparties, and settle on agreed timelines.
By creating an account or using the Services, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use the Services.
01Who we are
Finmarine is a technology company. We are not a bank, lender, money transmitter, or financial institution, and we do not provide loans, credit, deposit-taking, or financing of any kind.
Where the Services facilitate the assignment and settlement of invoices, Finmarine acts as a technology and administrative layer between counterparties. Vendors are paid for invoices they assign to Finmarine; vessels and their representatives settle those invoices directly with Finmarine on the agreed schedule.
02Eligibility and accounts
You must be a business entity acting through an authorized representative to use the Services. By registering, you confirm you have authority to bind your organization to these Terms.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.
- Provide accurate, current, and complete onboarding information.
- Keep your organization and counterparty details up to date.
- Use access controls appropriate to your team and role permissions.
03Onboarding, KYC and screening
All counterparties complete identity and business verification before onboarding. This includes Know Your Customer (KYC), Know Your Business (KYB), sanctions screening (including OFAC and equivalent lists), and anti-money-laundering (AML) checks.
We may request additional documentation at any time and may suspend or decline access where verification cannot be completed, where screening returns a match, or where we reasonably suspect fraud, sanctions exposure, or unlawful activity.
04Invoicing and settlement
Vendors may issue invoices to counterparties through the Services and may request to be paid up front on eligible invoices they assign to Finmarine. Ships and their representatives manage, approve, and settle invoices on the timeline presented in the platform.
Fees
Finmarine charges a discount fee on advanced invoices, starting at 5%, along with any plan or service fees disclosed at the point of use. Applicable fees are shown before you confirm a transaction. Fees are exclusive of taxes unless stated otherwise.
Assignment
When a vendor assigns an invoice to Finmarine, the corresponding receivable and the right to collect it transfer to Finmarine as described in the assignment terms presented at the time. The vessel then settles directly with Finmarine.
05Acceptable use
You agree not to misuse the Services. In particular, you will not:
- Submit false, fraudulent, or duplicate invoices, or misrepresent any transaction.
- Use the Services to facilitate sanctioned, illegal, or unlicensed trade.
- Attempt to access accounts, data, or systems you are not authorized to access.
- Interfere with, disrupt, or reverse-engineer the Services.
06Your data
You retain ownership of the data you submit. You grant Finmarine the rights needed to host, process, and display that data to operate the Services, to perform screening and compliance functions, and to improve and secure the platform.
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
07Disclaimers and liability
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Finmarine disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Finmarine’s aggregate liability arising out of or relating to the Services will not exceed the fees you paid to Finmarine in the twelve months before the event giving rise to the claim. Finmarine is not liable for indirect, incidental, or consequential damages.
08Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access where you breach these Terms, where required by law or compliance obligations, or where continued access presents risk to the platform or its users.
Provisions that by their nature should survive termination — including fees owed, data and liability terms, and dispute resolution — will survive.
09Changes and governing law
We may update these Terms from time to time. Material changes will be notified through the Services or by email, and the "Last updated" date above will change. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the jurisdiction stated in your order or account agreement, without regard to conflict-of-laws rules.
